Bylaws of The AEA LabVIEW User Group

Article I - NAME
This club shall be officially known as the "Aerospace Employees
Association LabVIEW Users Group", commonly known as the "Aerospace
LabVIEW Users Group" or AEA LVUG. This club is an affiliate
of the Aerospace Employees Association (AEA), a California non-profit
organization. In event of the dissolution of the Group, any cash
or other assets shall be reverted to the AEA.
Article II - PURPOSE
The purpose of the AEA LVUG is to provide a forum to encourage
and support users of the LabVIEW programming language and associated
software and hardware.
Article III - MEMBERSHIP AND DUES
Section 1
There are five categories of membership as defined below:
* REGULAR MEMBERS
o Category Ml: Any individual employed by an organizational element
of The Aerospace Corporation.
o Category M2: Member status retained by those employees who are
retired from The Aerospace Corporation.
* ASSOCIATE MEMBERS
o Category A1: Any spouse and/or children of M1 or M2.
o Category A2: Any military or civil service employee assigned
to the Los Angeles Air Force Base.
o Category A3: Any other person whose membership is felt to be
in the best interest of the club and who is sponsored by M1, M2,
or A2.
Section 2
The terms membership and member apply to all Regular Members and
Associate Members.
* Willful failure to abide by the AEA LVUG rules and Bylaws, or
conduct detrimental to the AEA LVUG or showing a disregard for
the AEA LVUG interests or property or for the safety or welfare
of other members shall be grounds for the summary expulsion of
any member by a majority vote of the Executive Board.
* Neither the AEA nor the AEA LVUG assumes any liability for members
who are participating in AEA LVUG or AEA sponsored activities.
* No individual member shall be entitled to any right or interest
whatsoever in any property, real or personal, tangible or intangible,
of the AEA LVUG or of the AEA at any time.
Section 3
Dues are payable by January 1 of each year and shall provide membership
privileges for the calendar year. Any person whose dues have not
been paid by that date shall automatically be dropped from the
membership.
* Dues for Regular Members shall be no less than ten dollars ($10.00)
and no more than thirty ($30.00) per year.
* Dues for Associate Members shall be at least three ($3.00) more
per year than the amount set for Regular Members.
* Dues for the subsequent calendar year, including any pro-rating
schedule for partial year membership, shall be set by the Executive
Board in November of the current year. The reasons for any change
in the amount of dues shall be communicated to the membership in
November, when applications for the next year are announced.
Article IV - EXECUTIVE OFFICERS BOARD
The affairs of the AEA LVUG shall be under the direction of the
AEA LVUG Executive Officers Board (Board).
Section 1
The Board, as a minimum, shall consist of the following elected
officers:
* President
* Vice President
* Secretary
* Treasurer
Section 2
The Board shall be elected annually by the Membership in April
and shall serve for the following calendar year. When an eligible
replacement is available for an officer who has already served
two or more consecutive terms in the same position, the incumbent
shall withdraw in favor of the replacement.
Section 3
No Executive Officer may be, or be affiliated with, a computer,
computer media or electronics dealer. Only category M1 or A1 Members
may be Executive Officers.
Section 4
The duties of AEA LVUG Executive Officers shall be those usually
associated with their respective offices in addition to the following:
* The PRESIDENT shall preside at all general membership and Executive
Board meetings; appoint all committees; have general supervision
of the work of the club; serve as an ex-officio member of all committees
of the AEA LVUG; transmit to the Board for its approval or disapproval
all ideas and plans proposed which affect the AEA LVUG or the Membership;
prepare and distribute a periodic update on upcoming meetings and
other AEA LVUG business; and take no action binding upon the AEA
LVUG without either specific prior authorization or pending subsequent
ratification by the Board. Also will assist Vice President and
AEA LVUG Officers as needed.
* The VICE PRESIDENT shall, in the absence of the President, take
over the duties of the President. If the office of President is
vacated during the tenure of office, the Vice President shall assume
the office of President. Also will assist the AEA LVUG Officers
as needed, will be official liaison for AEA LVUG, administrate
the AEA LVUG Listserver, and work with the website administrator
on maintaining and updating the AEA LVUG web site.
* The SECRETARY shall have custody of the AEA LVUG Bylaws, all
correspondence, other records and documents of the AEA LVUG; keep
accurate records of the Board meetings and activities of the AEA
LVUG; be responsible for coordinating the list of prospective nominees
to the Board; prepare the ballot for the April election of the
Board; and act as AEA LVUG Librarian if a dedicated Librarian is
not elected or appointed. Also will assist AEA LVUG officers as
needed.
* The TREASURER shall receive and disburse, with the approval of
the Board, all AEA LVUG funds and keep accurate account of them;
keep an up-to-date Membership list; transmit the accounts and all
undistributed funds to the successor Treasurer, and provide a periodic
accounting to the Board. Also will assist AEA LVUG Officers as
needed.
Section 5
Three members of the Board shall constitute a quorum, with one
of those members being President or Vice President.
Section 6
The Board may appoint others in the Membership to assist in performing
its duties as required. Prerequisites for such appointees shall
be established by the President.
Section 7
The Board shall have the authority to fill a vacancy in the Board
for the remainder of the current year.
Section 8
Any member of the Board may be removed for lack of active participation
by a majority vote of the Board. A Board member may resign at any
time after giving 30 days notice to the Board.
Section 9
Board members are exempt from annual dues requirements but can
pay annual dues voluntarily if such Board member desires.
Article V - MEETINGS
The following meetings shall be authorized by the Board.
Section 1
EXECUTIVE OFFICERS BOARD MEETINGS
* The President shall call a meeting of the Board at least once
every other month. Notice of Board meetings shall be given to all
Board members by the Secretary. If a Board member cannot be notified,
the Secretary shall so certify to the Board at the meeting.
* Other meetings may be called by any four Board members.
* AEA LVUG Members may attend the Board Meetings in a non-voting
capacity.
Section 2
GENERAL MEMBERSHIP MEETINGS
* A General Membership Meeting and Technical presentation shall
be held once every other month.
* Special meetings may be held at the discretion of the Board.
* The physical location of General Membership Meetings shall change
periodically so that no Member is needlessly inconvenienced on
a regular basis due to location.
Article VI - ELECTIONS
Section 1
The election procedure for the AEA LVUG shall be in accordance
with the following:
* The Board shall constitute the Nominating Committee. They shall
meet in March of each year and solicit nominations from the membership.
* Any category M1 or A1 member of the AEA LVUG may also be nominated
for the Board. All nominations must be received by April 1 and
shall be eligible and placed on the ballot.
Section 2
The Nominating Committee shall send the names of the nominees to
the Membership within one week of their selection.
Section 3
The Membership may vote for no more than the number of positions
being filled. The candidates with the highest number of votes for
each position shall be elected.
Section 4
Elections shall be held at the April General Membership Meeting.
Members who are unable to attend the April General Membership Meeting
may submit a ballot prior to the meeting. Members may choose to
submit a secret ballot if they so wish.
Section 5
The newly elected Members of the Board and Officers shall take
office on May 1.
Article VII - AEA LVUG ASSETS
Section 1
AEA LVUG assets shall consist of computer hardware, computer software,
books, and other items purchased by or donated to the AEA LVUG.
Section 2
AEA LVUG assets shall be maintained and controlled by the Librarian
when such assets are to be loaned to the membership. Assets not
to be circulated (i.e. installed computers etc.) shall be administered
as decided by the Board. Assets shall be available to any AEA LVUG
member.
Section 3
Access to club assets is provided to the membership with the understanding
that the following rules will be adhered to:
* Copyrighted software borrowed from the library shall not be duplicated
unless specifically permitted by the copyright.
* Items shall be returned by the agreed upon time unless an extension
has been granted by the appropriate custodian.
* Items must be returned in the same condition as loaned.
Section 4
If the above understandings are not adhered to the Board may restrict
or discontinue the borrowing privileges of the member involved
.
Section 5
An AEA LVUG member who borrows equipment or materials from the
AEA LVUG is responsible for those items.
* If the materials are lost or stolen while in the possession of
the AEA LVUG member, that AEA LVUG member shall have responsibility
for replacing the items within a time acceptable to the AEA LVUG
Board.
* At the discretion of the Board, a reimbursement as determined
by the Board may be substituted in place of replacement of missing
items.
Article VIII - PRECEDENCE
Section 1
The Constitution and Bylaws of the AEA shall take precedence over
these Bylaws in case of conflicting statements.
Section 2
Roberts Rules of Order, newly revised, shall be the Parliamentary
authority for all cases not covered explicitly by these Bylaws.
Article IX - AMENDMENTS
Section 1
Amendments may be proposed either by the Board or by a petition
signed by at least ten percent (10%) of the membership.
Section 2
Notification of proposed amendments shall be sent to all the paid
membership and shall require an affirmative vote of sixty percent
of the participating Members for ratification
.
Section 3
Ballots must be returned within two weeks of their distribution.
Article X - QUESTIONNAIRE
Annually a questionnaire concerning future activities shall be
distributed to the membership requesting comments, suggestions,
and events to be planned.
Article XI - FINANCES
Section 1
Checks drawn on the funds of the AEA LVUG shall be signed by two
Board members in accordance with the signature card on file at
the bank holding the AEA LVUG's business account.
Section 2
In June of each calendar year, the Treasurer shall present an annual
report on the status of the AEA LVUG's finances to the Board and
provide a copy for the President to forward to the AEA.
Section 3
The Board shall appoint 3 members to make a year end audit at the
end of the fiscal year, and shall report on the audit at the next
general meeting following the audit.
Section 4
Funds cannot be used to sponsor trips to NI Week or other conferences
and seminars.
