THE AEROSPACE PLAYERS

Article I - Membership

Section 1

Any member of the Aerospace Corporation Employees Association may become a regular member of the club by payment of club dues for one year. Dues shall not be pro-rated. Instead, a member's dues shall entitle them to club membership for one year from receipt of their membership fee.

Section 2

Any associate member of the Aerospace Corporation Employees Association may become an associate member of the club by payment of club dues for one year. Dues shall not be pro-rated. Instead, an associate member's dues shall entitle them to club membership for one year from receipt of their membership fee.

Article II - Dues

Section 1

The annual dues for regular members of the club shall be $15 with the provision that in subsequent years, increases in production costs could result in increased dues, subject to vote by club officers.

Section 2

The annual dues for associate members of the club shall be $16 with the provision that in subsequent years, increases in production costs could result in increased dues, subject to vote by club officers.

Article III - Duties of Officers

Section 1

The President shall preside at all regular meetings and special meetings of the club. He or she shall appoint all special committees as necessary. He or she shall approve all bills before their payment and is empowered to sign checks drawn on the club's checking account. He or she shall act as official representative to the Aerospace Employees Association.

Section 2

The Vice President shall preside at all meetings of the club in the absence of the President. He or she shall assist the President in all ways possible to promote the activities of the club. He or she is empowered to sign checks drawn on the club's checking account in the absence of either the President or the Treasurer .

Section 3

The Secretary shall keep an accurate record of the business of the club, and shall maintain a current roster of the club's membership. He or she shall provide timely notice of all meetings to the club's membership.

Section 4

The Treasurer shall collect dues and acknowledge their receipt. He or she shall act as custodian of all the club's assets, keep an accurate account of all receipts and disbursements, and be prepared to make an oral report of this condition as requested. He or she is empowered to sign checks drawn on the club's checking account.

Article IV - Selection of Officers

At the first meeting of each year, nominations for the office of President will be accepted. Any member can nominate another member in good standing, however, they cannot nominate themselves. A member who is nominated may decline said nomination. The Secretary will prepare a ballot consisting of all valid nominations to be distributed to the membership within two weeks. The ballots are to be returned to the Secretary and the results of the balloting will be announced at the next business meeting of the club. At this time, the new President will be introduced formally, and his or her term of office will begin. Within the following two weeks, the new President will choose the other officers. The Secretary will distribute to all club members an announcement of the new officers before the next regular business meeting of the club.

Article V - Regular Meetings

Monthly meetings will convene on a day and time that will be determined by club members. At the discretion of the club officers, special meetings can be called at any time. In this case, the Secretary shall be responsible to see that all members are notified in a timely manner as to the time and place of said meeting.

Article VI - Amending Bylaws

The bylaws for the club cannot be changed, but can be amended. The proposed amendment must be presented at any regular meeting of the club, and the entire membership must be notified by the Secretary of the proposal within 60 days. In order for the proposed amendment to be ratified, it must be approved by a majority of the membership. It shall be the duty of the Secretary to determine the outcome of the vote and notify the members of the results.




Amendment A - Membership (8/98)

Aside from eligibility for the office of club president and the difference in annual club dues, there shall be no differences between the rights, responsibilities, and privileges of members and associate members of the club.

Amendment B - Dues (8/98)

The fiscal and membership year for the club is 10/1 to 9/30. Dues shall not be prorated.

Amendment C - Selection of Officers and Productions (8/98)

The President and Secretary shall coordinate, organize, and conduct officer elections prior to the end of each fiscal year. All four officer positions shall be elected. Any member or associate member may be nominated for one or for more than one position on a ballot, but may only fill a single position (of his or her preference) if elected to more than one. The runner-up in the unfilled position shall be granted that position. Elections and notifications may be done in a club meeting or via written or electronic correspondence.

In the event of an officer resigning, a replacement may be appointed by the President and serve until the next election.

Club officers will be installed on 10/1.

Club officers are responsible for jointly selecting the performance title, Director, and Producer for all productions. The Director and Producer shall select their support staff (e.g., musical director, choreographer, set designer, asst. director, asst. producer, etc.). The Director and Producer will work with the President and Treasurer to produce a budget for the proposed production. They will jointly be responsible for subsequent financial planning and executions. The Director and Producer will be responsible for all other aspects of a given production.

Amendment D - Transaction of Club Business (8/98)

The President may delegate approval authority for bill payment to the Treasurer.

All decisions pertaining to club business and activities that are not explicitly covered in these bylaws shall be made by majority vote of the club officers.

Amendment E - Club Meetings (8/98)

Meetings of club officers need not be held on a regular basis. Such meetings shall be called at the discretion of the club President, and presided over by him or her. There shall be at least one general meeting a year to which each club member and associate member is invited. Other meetings may be called by the President, or by request of five or more club members. Two weeks notice shall be provided to all club members of any general meeting.

Amendment F - Torrance Consortium (8/98)

The club Vice President shall be the official delegate to the Torrance Consortium of Non-Profit Performing Groups. He or she or a delegate shall be responsible for attending all Consortium meetings (until such time as the club ceases to participate with said Consortium).

Amendment G - Amending Bylaws (8/98)

The club bylaws may be amended by majority vote of attending club members at a general meeting, or by majority vote of club members responding to written or electronic correspondence. Club members not responding within two weeks of the date of origination of the communication shall forfeit their right to vote on the proposed amendments. Absentee ballots may be submitted if a club member is unable to attend a general meeting.

Amendment H - Dues (10/09)

The annual dues for associate members of the club shall be $45.00. These dues shall cover the associate members annual dues and the participation fees for one production during the fiscal year. If the associate member participates in more than one production, they shall be required to pay participation fees for the additional productions.

Amendment I - Nominations (10/09)

Any member can nominate any member for any office of the Board for annual elections, including themselves. Election votes shall be collected and tallied by a person designated by the Board. This person shall not be one of the nominees for election.

Amendment J - Professional Actor Organizations (10/09)

The Aerospace Players shall not enter into contractual agreements with professional actor organizations. Professional actors are welcome to participate with club productions, but do so under their own cognizance and assume all professional risk associated with this participation.

Amendment K - Complimentary Tickets (10/09)

Upon payment of their annual dues, each associate or full member shall receive a voucher for one complimentary ticket, good for any Aerospace Players performance during that year. Vouchers must be used within one year of receipt.

Amendment L - Repeal of Amendments H and K (4/11)

Amendment H and Amendment K are hereby repealed.
